A. PROGRAMME DESCRIPTION

1. The Club ITC Culinaire (hereinafter referred to as "Programme") is the luxury dining programme offered by ITC Limited (hereafter referred to as ITC). The same is a paid programme offering a set of defined benefits to enrolled members.

B. DEFINITIONS

2. Member: Means a person whose application for membership of the programme has been accepted by ITC and who is subject to the membership terms set out herein.
3. Primary Member: An individual enrolled into the programme on payment of the prevailing primary membership fee.
4. Spouse Member: An individual enrolled into the programme on a membership on the basis of the primary membership of his/her spouse.
5. Green Points: Means the points which are credited to the account maintained in the name of the Member by making Eligible Spends.
6. Customer Care: Is the contact point of Club ITC Culinaire at clubitc.culinaire@itchotels.in or 1800-103-2482
7. Participating Hotels: For complete list of Participating Hotels, please visit the website www.itchotels.com/clubitc-culinaire
8. Participating Restaurants: All restaurants at Participating Hotels unless specified otherwise.
9. Eligible Spends: Are the spends on the basis of which Green Points accrue to the credit of the Programme Member and are monetary amounts (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) spent by a Member on identified brands of ITC and include the following:
a. While dining as a non-resident at Participating Hotels, except Fortune and WelcomHeritage Hotels- Expenses (exclusive of ineligible spends, taxes, discounts, paid outs, gratuities and service charges) incurred by a Member towards any food and beverage consumed at Participating Restaurants.
b. While staying at Participating Hotels, except WelcomHeritage Hotels - Expenses (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) incurred by a resident Member towards: Stay/accommodation, any food and beverage consumed which are billed to the room account, any service availed billed to the room account except banquet and conference expenses, any purchase of Essenza Di Wills personal care products billed to the room account, any purchase of Kitchens of India ready-to-eat products, purchase at Fabelle boutiques billed to the room account, any purchase of services at spas, business centres and salons, billed to the room account.
c. Eligible Food spends: All expenses incurred at Participating Restaurants by a Programme Member while dining including special menus, set menus, buffets (with or without alcohol), soft and alcoholic beverages as well as spends on In-Room Dining, mini bar and Gourmet Shops for dine in or take-away, will qualify to be treated as an Eligible Spends.
10.Members will earn points on any eligible food spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA). 11. Members will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA).
12. Expense incurred on banquet and conference spends and on special events shall not qualify as an Eligible Spend.
13. Partner: Is the brand of a third party entity with which ITC has or may have an alliance to enable the Programme Member to redeem Green Points.
C. ENROLLING INTO CLUB ITC CULINAIRE

14. Membership to the Programme is open to all individuals who are aged 18 years and above.
15. The membership is open only to individuals. Corporations, associations or groups cannot enroll into the Programme.
16. The Programme is open to resident Indian nationals or a foreigner/non-resident Indian holding a valid work permit and residing in India.
17. The Programme is not open to employees of ITC Ltd. and its subsidiary companies.
18. Membership and benefits of the Programme are offered at the sole discretion of ITC and ITC reserves the right to grant or refuse membership.
19. Enrolment into the Programme must be in the individuals full legal name, and will be processed only on payment of the prevailing membership fee in INR and on submission of enrollment form with a full and correct postal address and a valid telephone number in India as well as a valid e-mail address. Both enrolling members would need to share all mentioned information/documents.
20. On enrolment, Members shall be provided with a Club ITC Culinaire Membership Card with such details as may be deemed fit by ITC including a membership number. The card will be valid only for the period indicated on it.
21. The duration of the membership shall be for a period of 12 calendar months from the date of issuance of the membership card. The date of expiry of both memberships (Primary & Spouse) shall be the same, irrespective of the date of enrollment of the Spouse member.
22. The Club ITC Culinaire Card may be used only by the Member in whose name the card is issued and is not transferable. The Club ITC Culinaire Card will be sent to the preferred postal address specified by the Member during enrolment.
23. Existing Club ITC Members, enrolling in the Programme will be provided a new Card but will retain their Club ITC Membership Number. Their point balance would be transferred to the new card.
24. By receiving the Club ITC Culinaire card or by referring to the membership number during any transaction including a redemption request, a Member shall be deemed to have accepted the terms and conditions for the Programme specified from time to time at www.itchotels.com/clubitc-culinaire.
25. In case of non-receipt of the Membership card and/or Green Points not credited for Eligible Spends after the date of enrollment, it is incumbent on the Member to communicate the same within 30 days of either of the events to the Club ITC Customer Care, in writing.
26. In order to avail Programme benefits the Member must present the Club ITC Culinaire Card.
27. If the Club ITC Culinaire card is lost, damaged or stolen, the Member must inform ITC by calling or writing to the Club ITC Customer Care at 1800-103-2482 or clubitc.culinaire@itchotels.in..

D. CANCELLATION OF MEMBERSHIPS

28. Members wishing to cancel their Club ITC Culinaire membership may do so within 30 days of issue of the membership card, by returning the membership card and all accompanying certificates. Refund requests will only be entertained if the Card and all certificates are returned.
29. Refunds will be made via cheque in case the membership fee had been paid via cheque/cash/creditcard. In cases where the Member had paid the membership fee via redemption of Green Points, membership fee will be refunded by crediting back the Green Points. Any Green Points redeemed, which were earned during the tenure of the Club ITC Culinaire Membership, shall be deducted before a refund credit is made.
30. Any Green Points earned by the Member during his/her Club ITC Culinaire membership would be forfeit at the time of cancellation.
31. Programme Members who were Club ITC Members will return to their previous Club ITC tier on cancelling their Club ITC Culinaire membership.
32. Members wishing to cancel their Club ITC Culinaire membership after 30 days of issue or renewal of the membership card shall forfeit the entire membership fee.
33. In case there is a Spouse membership linked with the membership being cancelled, the Spouse membership will also stand cancelled automatically.

E. MEMBERSHIP BENEFITS

34. Members of the Programme will earn Green Points and / or will be entitled to savings and other benefits while incurring expenses on Eligible Spends at all Participating Hotels as per the terms and conditions of the Programme.

37. The Program accords the mentioned benefits to members below:

c·50% off on published tariff for suites on weekends (nights of Fri/Sat).
39. Club ITC members enrolling into the programme will continue to enjoy all the existing Club ITC Membership tier benefits listed above.
40. Members cannot maintain membership in, or earn points on multiple accounts.
F. EARNING OF POINTS

41. Points will be awarded on all Eligible Spends at Participating Hotels/Restaurants only from the date of Members enrolment into the Programme.
42. Members can earn Green Points only on Eligible Spends from the Programme commencement date. No points will be earned for any amounts charged before the commencement date of the Programme. This includes cases where a Member has checked in to a hotel before the Programme is launched at that hotel and checks out after the start date of the Programme at that hotel. For example: if a member checks in on 01 May, 2022 and checks out on 10 May, 2022 and the start date of the Programme for that hotel is 08 May, 2022, then the member will earn points only for eligible expenditure from 08 May, 2022 onwards.
43. Green Points issued have no monetary value and cannot be bartered or sold by Members for cash at any point of time. These points may only be redeemed in accordance with the Terms of the Programme. Members have no ownership interest in accrued Green Points and accrued Green Points are not the property of the Members.
44. Members may pool/transfer Green Points to the spouse memberships linked with their account and vice versa. No other form of transfer/barter/sale/purchase of Green Points is allowed.
45. Green Points will be automatically recorded if the Club ITC Culinaire membership card is presented at the time of check-in/out, settlement of dining bills at participating hotels.
46. Green Points will not be credited unless the Card is presented while settling transactions at Participating Hotels.
47. Points will only be available for redemption after they have been credited into and reflecting on the members account. Points that do not reflect in a members account cannot be redeemed.
48. All Members will receive an update on points status post every transaction. Additionally, members may log on to the Programme website, access their accounts and view their detailed account statement.
49. Green Points can only be earned in whole numbers. In the event, the Green Points for a transaction resulting in a number with decimal value, the number of Green Points will be rounded up or down to the nearest whole number.
50. In cases where the Member or the Members company is given a discount after the stay has been completed, the appropriate number of points will be deducted from the Members balance although he or she may have already been communicated the point status on the basis of the non-discounted amount.
51. ITC reserves the right to deduct points from a Members account balance if the points have been erroneously recorded under the account.
52. If a Member of the Programme is also a member of any other programme, loyalty or otherwise, whose members/card holders are also entitled to benefits (discounts, earning of points or any other benefits/privileges) at ITC Hotels, the Member will have to select the programme he/she would like to avail the benefits of. A Member cannot avail the benefits of any two programmes simultaneously for the same transaction.
53. No Green Points will be credited for stays made against experience certificates.
54. A Club ITC Culinaire Member may earn Green Points for up to three (3) rooms per night (Club ITC Member's room and two (2) additional rooms) within the same Participating Hotel. The Club ITC Culinaire Member must be occupying at least one of the rooms, and paying an Eligible Rate for all applicable rooms. In addition, only the room occupied by the Club ITC Culinaire Member shall receive Club ITC Programme benefits and services. The occupant(s) of the additional room(s) shall not receive Green Points or any other Club ITC Programme benefit.
55. In case two Club ITC Culinaire Members are sharing one room, Green Points shall only be awarded to the Club ITC membership account of the Club ITC Member settling the bill for the stay or that is billed back to that Club ITC Member's company for payment (and is not settled to a group master folio/posting master).
56. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group or post master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.
57. In case of consecutive stays of more than 30 nights at a participating hotel, the Club ITC member shall receive a one-time credit of Club ITC Green Points for up to 30 nights upon settlement of the invoice directly by the member or raising of the invoice upon the member's employer company/organization as the case may be.
58. Subject to other terms, a Member eligible for any discounted price for any Eligible Spend will earn Green Points only on the billed amount net of discounts and exclusive of taxes. It is clarified that Green Points cannot be earned on purchases made by any gift/privilege/discount/store credit or Gift Certificate, instant redemption, etc. by whatever name called, issued by any entity including IT.
59. In the event of a hotel bill comprising of food expenses, accommodation expenses, other charges and taxes being settled via a mix of Green Points and/or vouchers/certificates and any other mode of payment (cash, cheque, cards, etc.) the Green Points and/or vouchers/certificates would be set off, 1st against food expenses, then accommodation expenses, then other charges and finally taxes.
60. Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs). Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Further, a member will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agents (OTAs).
61. It is recommended that Members retain all invoices of dining experiences/hotel stays until the point credit(s) for the transaction has been communicated. In the event of dispute with respect to the accumulation of Green Points/Eligible Spends, the amounts specified in the invoices shall be considered to be binding.
62. In case a Member does not receive Green Points for an Eligible Spend despite having presented the card while settling the transaction, the member must communicate the same to Club ITC Customer Care via mail/ e-mail/ fax or phone within 180 days from date of transaction and would be required to supply a copy of hotel usage bill(s). No points will be given for failure to supply original invoices.
63. This retrospective crediting of points will be offered to Members only on presentation of original invoices. No crediting will be done where the Member has failed to present his/her membership card at the time of bill settlement.
64. Accrued points do not constitute property of the members. In the event of death, the Club ITC Culinaire membership will be suspended and all accrued points will stand cancelled.
65. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group; master folio; or posting master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Culinaire Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.

66.Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs).
Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Only other Eligible Charges, Food & Beverages (at restaurants, room service and mini-bars), laundry, spa, salon, telecommunication & business centre services etc. billed to the room for which the Club ITC Culinaire Member personally pays are eligible for Green Points credit.
G. REDEMPTIONS

67. Green Points can be redeemed by a Club ITC Culinaire Member for:
(i) Instant settlement of bills at Participating Hotels for stays, food and beverage, spas, business centre facilities, etc.
(ii) Conversion of Green Points to Partner hotel points as mentioned on www.itchotels.com
(iii) Food orders (Home delivery/ takeaways ) through ITC Hotels app.
68. Club ITC members who wish to convert/ transfer their Green Points into Marriott Loyalty programme Points may do so by placing a points conversion/ transfer request through their online membership account or by email clubitc.care@itc.in.
69. Green Points to Marriott Loyalty programme Points conversions shall take place in the ratio of 2 Club ITC Green points = 3 Marriott Loyalty programme Points.
70. Club ITC members who wish to convert/transfer their Green Points into Marriott Loyalty programme Points, must hold a valid and active Marriott Loyalty programme membership account.
71. A minimum conversion of 2,000 Green Points is required per conversion request and thereafter in multiples of 100.
72. A maximum of 60,000 Green Points may be converted per member per calendar year.
73. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.
74. The appropriate number of Points shall be credited to the member's Marriott Loyalty programme account as per the conversion ratio (2 Green Points = 3 Points) within 8-10 weeks of receipt of the conversion request.
75. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.

76. ITC Limited shall not be held responsible for the services rendered by Marriott Hotels & Resorts either arising from the use of converted Marriott Loyalty programme to Points or otherwis.

78. Further, ITC Limited shall not be held responsible for any claims/ damages and/or losses of any nature arising out of the availing of products and services provided by Marriott Hotels & Resorts in any instance and the members shall hold ITC Limited harmless against any such claims/ damages and/ or losses.
79. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.
80. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

83. Terms and conditions for conversion of Club ITC Green Points to Club Vistara Points.
84. Club ITC members who wish to convert/ transfer their Green Points into Club Vistara Points (CV Points) may do so by placing a points conversion/ transfer request through their online membership account or by email at clubitc.care@itc.in Members need to mention the Club Vistara and Club ITC membership ID along with the Green Points that they wish to convert.
85. Green Points to CV Points conversions shall take place in the ratio of 3 Club ITC Green points = 2 CV Points.
86. Club ITC members who wish to convert/transfer their Green Points into CV Points, must hold a valid and active Club Vistara Loyalty program membership account.
87. A minimum conversion of 600 Green Points is required per conversion request and thereafter in multiples of 150 Green Points.
88. A maximum of 60000 Green Points may be converted per member per calendar year.
89. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.

90. The appropriate number of Points shall be credited to the member's CV account as per the conversion ratio (3 Green Points = 2 CV Points) within 2-3 weeks of receipt of the conversion request.
91. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.
92. ITC Limited shall not be held responsible for the services rendered by Vistara either arising from the use of converted CV Points.

93. Further, ITC Limited shall not be held responsible for any claims/ damages and/or losses of any nature arising out of the availing of products and services provided by Vistara in any instance and the members shall hold ITC Limited harmless against any such claims/ damages and/ or losses.

94. In order to ensure timely processing of the conversion request, customers will need to ensure that the CV ID provided is correct.
95. CV Points converted will be governed by Club Vistara terms and conditions.

96. Club Vistara and ITC Hotels terms and conditions apply.
97. Vistara and ITC, reserve the right to modify, discontinue or terminate this arrangement, at any point without prior notice.
98. This offer shall be governed by the laws of India. Any dispute arising out of or in connection with this offer shall be subject to the exclusive jurisdiction of the courts of Delhi. By availing this offer, the customers shall be deemed to have accepted all the aforesaid terms and conditions.

99. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.

100. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

102. Issuance of gift certificates to the applicable extent for Travel House services. A minimum conversion of 500 Green Points is required per conversion request and thereafter in multiples of 500.

103. Exclusive Club ITC Reward Nights.
104. Redeem Green Points for Club ITC Culinaire membership for 16520 Green Points.
105. Green Points do not carry uniform values for the purpose of redemption across different Partners.
106. On redemption, the Club ITC Member's account shall stand debited by the number of Green Points redeemed.

107. All taxes and applicable incidental expenditures shall be borne by the Club ITC Member unless mentioned otherwise.

108. All policies for availability, cancellation, usage, stay etc. that ITC may have in respect of ITC Hotels, shall additionally apply to any availment by a Club ITC Member of the products/services of the relevant brand pursuant to a redemption or during incurring an Eligible Spend.
109. In case of availing instant redemption facility for settlement of bills, upon redemption of Green Points for adjustment against a part of the billed amount, the balance amount billed shall be settled by Club ITC Member in cash and/or recognized credit/debit card.

110. Redemption of the Green Points for issuance of Gift Certificates can be done by a Club ITC Member by accessing www.clubitc.in, contacting Customer Care and requesting for the redemption or writing to clubitc.care@itc.in.
111. Apart from the terms and conditions stated herein, the terms and conditions on a gift certificate shall also govern the receipt and utilization of the gift certificate.

112. ITC may impose additional terms and conditions on redemption of Green Points or usage of gift certificates, which shall be binding on Club ITC Members.
113. The type of redemption being sought shall determine the minimum number of days required to process the redemption which could range from approximately 7 to 30 working days
114. Taxes may additionally be levied on purchases via gift certificates, which shall be paid for by the Club ITC Member in cash and/or recognized credit/debit card.

115. All gift certificates shall be sent to the preferred mailing address of the Club ITC Member reflecting in the Club ITC account. If an envelope is received in a damaged condition, a Club ITC Member must not accept the same from the courier in order to receive a replacement from ITC. No replacement of gift certificate shall be provided or any such request entertained if the Club ITC member has accepted the delivery of the gift certificate.

116. Redemption requests once received or instantaneous redemptions once processed cannot be reversed and the relevant number of Green Points shall stand debited from the Club ITC Member's account on receipt of such redemption request or on instantaneous redemption.
117. Green Points can be redeemed for food orders through ITC Hotels app for home delivery or takeaway services. Green Points can be redeemed in part or full for payment of food orders through ITC hotels app including taxes and delivery charges.

H. RENEWAL OF MEMBERSHIP

118. Membership to the Programme is valid for a period of 1 calendar year from the date of payment of membership fees. It will be renewed every subsequent year, on payment of the prevailing membership fee. If a Member does not pay the requisite fee, the membership to the Programme will not be renewed and the membership benefits will not be available.
119. Members may renew their memberships in the last month of their membership by contacting the Club ITC Customer Care via mail/e-mail/phone/fax.

120. Payment towards renewing of memberships may be made in credit card/debit card or by redemption of Green Points (in case payment is to be made by Green Points, the Member must have the requisite number of points in their account; part payment via Green Points and another mode of payment is not permitted).
121. Renewal Benefit - All members who enrol into the program by paying the prevailing membership fee will receive a renewal benefit of 1500 bonus Green Points
I. EXPIRY OF POINTS

122. In case members renew their Programme membership, all Green Points earned and accumulated will be transferred to the new membership. Accumulated Green Points do not expire/lapse as long as Members renew their Programme membership.

123. In case Members, who were previously Members of Club ITC, do not renew their Club ITC Culinaire membership, they would migrate to the last Club ITC tier held OR to a tier basis last year’s performance (existing Club ITC rules) whichever is higher and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.

124. In case of non-renewal of membership by Members (other than erstwhile Club ITC members), they would migrate to Club ITC Member tier OR a higher tier basis performance and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.
J. ADDITIONAL TERMS

125. All interpretations of the Terms and Programme rules shall be at the sole discretion of ITC.

126. The Programme is applicable only at Participating Hotels & Participating Restaurants. However, certain restaurants at Participating Hotels and may not be part of the Programme. (for complete and updated list of participating hotels, restaurants, please visit www.itchotels.com/clubitc-culinaire).

127. The Programme has no predetermined termination date and may continue until such time as ITC decides to terminate the Programme, at any time, with or without notice to the Members. Accumulation of points will cease immediately on termination of the Programme.
128. ITC reserves the right to add, modify, delete or otherwise change any of the rules, conditions, privileges, benefits, rewards or reward levels pertaining to the Programme at its sole discretion, with or without notice, even though changes may affect the value of points already accumulated.
129. Without prejudice to other rights of ITC, the membership of a Member may be terminated by ITC at its sole discretion without assigning any reason, in the event ITC is of the view that any conduct of a Member is unacceptable or inappropriate.
130. Discontinued membership will result in the loss of all accumulated Green Points and the cancellation of all Programme rewards, benefits and privileges.
131. Members are responsible for remaining knowledgeable about the Programme rules and the number of points in their account. ITC will send correspondence to Members to advise them of matters of interest, including point updates. However, ITC will not be liable for any failure to do so and will not be responsible for correspondence lost or delayed in the mail.
132. ITC disclaims all responsibility and liability with respect to any act or omission by any of the partners, their directors, employees, agents or contractors.
133. ITC shall be entitled to use personal information provided by the Club ITC Culinaire Member for marketing of the Club ITC Culinaire Programme and various other offers & initiative by ITC Hotels via SMS/Email/ Whatsapp or any other medium, without further reference to the Club ITC Culinaire Member.
134. All communication will be mailed to the mailing address (postal and/or e-mail) given in the enrolment form and it is the responsibility of the Member to inform Club ITC Customer Care about any change in his/her address. All communication will be deemed to have been received by the Member and ITC bears no responsibility for communication not received or lost in the mail or courier.
135. All Club ITC Culinaire Members will receive an active membership card. In case members want to opt out of this service they are requested to call at 1800 103 2482 or email at clubitc.culinaire@itchotels.in to have the same deactivated.
K. BINDING DECISIONS OF ITC

136. All decisions by ITC in respect of this Programme or any element there of including, without limitation, in respect of the number of Green Points credited, exclusion of spends from Eligible Spends, redemption of Green Points, transfer or conversion of Green Points, eligibility for or exclusion from the membership selection of Club ITC Status, termination of membership at discretion of ITC, closure or earlier withdrawal of Programme, etc. shall be final and binding on a Member or prospective Member.
L. LIMITATION OF LIABILITY

137. ITC or its directors, employees, agents, affiliates or contractors shall not be held liable for any direct, indirect, special, consequential, remote or punitive losses, damages, costs and expenses, howsoever suffered or threatening to arise against a Member or prospective Member, with or without any act, breach or omission by ITC or its directors, employees, agents, affiliates or contractors, or its Partners and their directors, employees, agents, affiliates or contractors.
M. APPLICABLE TERMS AND CONDITIONS

138. The benefits, privileges, terms and conditions for the Programme specified may change at the discretion of ITC from time to time. All such changes shall be effective from the date of posting at the website www.clubitc.in/culinaire and shall be binding on a Programme Member. Members are requested to update themselves by visiting www.clubitc.in/culinaire on any changes there to which may not be separately intimated by ITC or brought to the attention of a Member.

N.  JURISDICTION

139.Any and all disputes arising out of this Programme and its terms and condition shall be subject to the exclusive jurisdiction of courts in Delhi.

A. PROGRAMME DESCRIPTION

1. The Club ITC Culinaire (hereinafter referred to as "Programme") is the luxury dining programme offered by ITC Limited (hereafter referred to as ITC). The same is a paid programme offering a set of defined benefits to enrolled members.

B. DEFINITIONS

2. Member: Means a person whose application for membership of the programme has been accepted by ITC and who is subject to the membership terms set out herein.
3. Primary Member: An individual enrolled into the programme on payment of the prevailing primary membership fee.
4. Spouse Member: An individual enrolled into the programme on a membership on the basis of the primary membership of his/her spouse.
5. Green Points: Means the points which are credited to the account maintained in the name of the Member by making Eligible Spends.

8. Participating Restaurants: All restaurants at Participating Hotels unless specified otherwise.
9. Eligible Spends: Are the spends on the basis of which Green Points accrue to the credit of the Programme Member and are monetary amounts (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) spent by a Member on identified brands of ITC and include the following:
a. While dining as a non-resident at Participating Hotels, except Fortune and WelcomHeritage Hotels- Expenses (exclusive of ineligible spends, taxes, discounts, paid outs, gratuities and service charges) incurred by a Member towards any food and beverage consumed at Participating Restaurants.
b. While staying at Participating Hotels, except WelcomHeritage Hotels - Expenses (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) incurred by a resident Member towards: Stay/accommodation, any food and beverage consumed which are billed to the room account, any service availed billed to the room account except banquet and conference expenses, any purchase of Essenza Di Wills personal care products billed to the room account, any purchase of Kitchens of India ready-to-eat products, purchase at Fabelle boutiques billed to the room account, any purchase of services at spas, business centres and salons, billed to the room account.
c. Eligible Food spends: All expenses incurred at Participating Restaurants by a Programme Member while dining including special menus, set menus, buffets (with or without alcohol), soft and alcoholic beverages as well as spends on In-Room Dining, mini bar and Gourmet Shops for dine in or take-away, will qualify to be treated as an Eligible Spends.
10.Members will earn points on any eligible food spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA). 11. Members will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA).
12. Expense incurred on banquet and conference spends and on special events shall not qualify as an Eligible Spend.
13. Partner: Is the brand of a third party entity with which ITC has or may have an alliance to enable the Programme Member to redeem Green Points.
C. ENROLLING INTO CLUB ITC CULINAIRE

14. Membership to the Programme is open to all individuals who are aged 18 years and above.
15. The membership is open only to individuals. Corporations, associations or groups cannot enroll into the Programme.
16. The Programme is open to resident Indian nationals or a foreigner/non-resident Indian holding a valid work permit and residing in India.
17. The Programme is not open to employees of ITC Ltd. and its subsidiary companies.
18. Membership and benefits of the Programme are offered at the sole discretion of ITC and ITC reserves the right to grant or refuse membership.
19. Enrolment into the Programme must be in the individuals full legal name, and will be processed only on payment of the prevailing membership fee in INR and on submission of enrollment form with a full and correct postal address and a valid telephone number in India as well as a valid e-mail address. Both enrolling members would need to share all mentioned information/documents.
20. On enrolment, Members shall be provided with a Club ITC Culinaire Membership Card with such details as may be deemed fit by ITC including a membership number. The card will be valid only for the period indicated on it.
21. The duration of the membership shall be for a period of 12 calendar months from the date of issuance of the membership card. The date of expiry of both memberships (Primary & Spouse) shall be the same, irrespective of the date of enrollment of the Spouse member.
22. The Club ITC Culinaire Card may be used only by the Member in whose name the card is issued and is not transferable. The Club ITC Culinaire Card will be sent to the preferred postal address specified by the Member during enrolment.
23. Existing Club ITC Members, enrolling in the Programme will be provided a new Card but will retain their Club ITC Membership Number. Their point balance would be transferred to the new card.
24. By receiving the Club ITC Culinaire card or by referring to the membership number during any transaction including a redemption request, a Member shall be deemed to have accepted the terms and conditions for the Programme specified from time to time at www.itchotels.com/clubitc-culinaire.
25. In case of non-receipt of the Membership card and/or Green Points not credited for Eligible Spends after the date of enrollment, it is incumbent on the Member to communicate the same within 30 days of either of the events to the Club ITC Customer Care, in writing.
26. In order to avail Programme benefits the Member must present the Club ITC Culinaire Card.
27. If the Club ITC Culinaire card is lost, damaged or stolen, the Member must inform ITC by calling or writing to the Club ITC Customer Care at 1800-103-2482 or clubitc.culinaire@itchotels.in..

D. CANCELLATION OF MEMBERSHIPS

28. Members wishing to cancel their Club ITC Culinaire membership may do so within 30 days of issue of the membership card, by returning the membership card and all accompanying certificates. Refund requests will only be entertained if the Card and all certificates are returned.
29. Refunds will be made via cheque in case the membership fee had been paid via cheque/cash/creditcard. In cases where the Member had paid the membership fee via redemption of Green Points, membership fee will be refunded by crediting back the Green Points. Any Green Points redeemed, which were earned during the tenure of the Club ITC Culinaire Membership, shall be deducted before a refund credit is made.
30. Any Green Points earned by the Member during his/her Club ITC Culinaire membership would be forfeit at the time of cancellation.
31. Programme Members who were Club ITC Members will return to their previous Club ITC tier on cancelling their Club ITC Culinaire membership.
32. Members wishing to cancel their Club ITC Culinaire membership after 30 days of issue or renewal of the membership card shall forfeit the entire membership fee.
33. In case there is a Spouse membership linked with the membership being cancelled, the Spouse membership will also stand cancelled automatically.

E. MEMBERSHIP BENEFITS

34. Members of the Programme will earn Green Points and / or will be entitled to savings and other benefits while incurring expenses on Eligible Spends at all Participating Hotels as per the terms and conditions of the Programme.

40. Members cannot maintain membership in, or earn points on multiple accounts.
F. EARNING OF POINTS

41. Points will be awarded on all Eligible Spends at Participating Hotels/Restaurants only from the date of Members enrolment into the Programme.
42. Members can earn Green Points only on Eligible Spends from the Programme commencement date. No points will be earned for any amounts charged before the commencement date of the Programme. This includes cases where a Member has checked in to a hotel before the Programme is launched at that hotel and checks out after the start date of the Programme at that hotel. For example: if a member checks in on 01 May, 2022 and checks out on 10 May, 2022 and the start date of the Programme for that hotel is 08 May, 2022, then the member will earn points only for eligible expenditure from 08 May, 2022 onwards.
43. Green Points issued have no monetary value and cannot be bartered or sold by Members for cash at any point of time. These points may only be redeemed in accordance with the Terms of the Programme. Members have no ownership interest in accrued Green Points and accrued Green Points are not the property of the Members.
44. Members may pool/transfer Green Points to the spouse memberships linked with their account and vice versa. No other form of transfer/barter/sale/purchase of Green Points is allowed.
45. Green Points will be automatically recorded if the Club ITC Culinaire membership card is presented at the time of check-in/out, settlement of dining bills at participating hotels.
46. Green Points will not be credited unless the Card is presented while settling transactions at Participating Hotels.
47. Points will only be available for redemption after they have been credited into and reflecting on the members account. Points that do not reflect in a members account cannot be redeemed.
48. All Members will receive an update on points status post every transaction. Additionally, members may log on to the Programme website, access their accounts and view their detailed account statement.
49. Green Points can only be earned in whole numbers. In the event, the Green Points for a transaction resulting in a number with decimal value, the number of Green Points will be rounded up or down to the nearest whole number.
50. In cases where the Member or the Members company is given a discount after the stay has been completed, the appropriate number of points will be deducted from the Members balance although he or she may have already been communicated the point status on the basis of the non-discounted amount.
51. ITC reserves the right to deduct points from a Members account balance if the points have been erroneously recorded under the account.
52. If a Member of the Programme is also a member of any other programme, loyalty or otherwise, whose members/card holders are also entitled to benefits (discounts, earning of points or any other benefits/privileges) at ITC Hotels, the Member will have to select the programme he/she would like to avail the benefits of. A Member cannot avail the benefits of any two programmes simultaneously for the same transaction.
53. No Green Points will be credited for stays made against experience certificates.
54. A Club ITC Culinaire Member may earn Green Points for up to three (3) rooms per night (Club ITC Member's room and two (2) additional rooms) within the same Participating Hotel. The Club ITC Culinaire Member must be occupying at least one of the rooms, and paying an Eligible Rate for all applicable rooms. In addition, only the room occupied by the Club ITC Culinaire Member shall receive Club ITC Programme benefits and services. The occupant(s) of the additional room(s) shall not receive Green Points or any other Club ITC Programme benefit.
55. In case two Club ITC Culinaire Members are sharing one room, Green Points shall only be awarded to the Club ITC membership account of the Club ITC Member settling the bill for the stay or that is billed back to that Club ITC Member's company for payment (and is not settled to a group master folio/posting master).
56. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group or post master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.
57. In case of consecutive stays of more than 30 nights at a participating hotel, the Club ITC member shall receive a one-time credit of Club ITC Green Points for up to 30 nights upon settlement of the invoice directly by the member or raising of the invoice upon the member's employer company/organization as the case may be.
58. Subject to other terms, a Member eligible for any discounted price for any Eligible Spend will earn Green Points only on the billed amount net of discounts and exclusive of taxes. It is clarified that Green Points cannot be earned on purchases made by any gift/privilege/discount/store credit or Gift Certificate, instant redemption, etc. by whatever name called, issued by any entity including IT.
59. In the event of a hotel bill comprising of food expenses, accommodation expenses, other charges and taxes being settled via a mix of Green Points and/or vouchers/certificates and any other mode of payment (cash, cheque, cards, etc.) the Green Points and/or vouchers/certificates would be set off, 1st against food expenses, then accommodation expenses, then other charges and finally taxes.
60. Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs). Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Further, a member will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agents (OTAs).
61. It is recommended that Members retain all invoices of dining experiences/hotel stays until the point credit(s) for the transaction has been communicated. In the event of dispute with respect to the accumulation of Green Points/Eligible Spends, the amounts specified in the invoices shall be considered to be binding.
62. In case a Member does not receive Green Points for an Eligible Spend despite having presented the card while settling the transaction, the member must communicate the same to Club ITC Customer Care via mail/ e-mail/ fax or phone within 180 days from date of transaction and would be required to supply a copy of hotel usage bill(s). No points will be given for failure to supply original invoices.
63. This retrospective crediting of points will be offered to Members only on presentation of original invoices. No crediting will be done where the Member has failed to present his/her membership card at the time of bill settlement.
64. Accrued points do not constitute property of the members. In the event of death, the Club ITC Culinaire membership will be suspended and all accrued points will stand cancelled.
65. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group; master folio; or posting master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Culinaire Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.

66.Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs).
Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Only other Eligible Charges, Food & Beverages (at restaurants, room service and mini-bars), laundry, spa, salon, telecommunication & business centre services etc. billed to the room for which the Club ITC Culinaire Member personally pays are eligible for Green Points credit.
G. REDEMPTIONS

67. Green Points can be redeemed by a Club ITC Culinaire Member for:
(i) Instant settlement of bills at Participating Hotels for stays, food and beverage, spas, business centre facilities, etc.
(ii) Conversion of Green Points to Partner hotel points as mentioned on www.itchotels.com
(iii) Food orders (Home delivery/ takeaways ) through ITC Hotels app.
68. Club ITC members who wish to convert/ transfer their Green Points into Marriott Loyalty programme Points may do so by placing a points conversion/ transfer request through their online membership account or by email clubitc.care@itc.in.
69. Green Points to Marriott Loyalty programme Points conversions shall take place in the ratio of 2 Club ITC Green points = 3 Marriott Loyalty programme Points.
70. Club ITC members who wish to convert/transfer their Green Points into Marriott Loyalty programme Points, must hold a valid and active Marriott Loyalty programme membership account.
71. A minimum conversion of 2,000 Green Points is required per conversion request and thereafter in multiples of 100.
72. A maximum of 60,000 Green Points may be converted per member per calendar year.
73. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.
74. The appropriate number of Points shall be credited to the member's Marriott Loyalty programme account as per the conversion ratio (2 Green Points = 3 Points) within 8-10 weeks of receipt of the conversion request.
75. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.

76. ITC Limited shall not be held responsible for the services rendered by Marriott Hotels & Resorts either arising from the use of converted Marriott Loyalty programme to Points or otherwis.

79. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.
80. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

84. Club ITC members who wish to convert/ transfer their Green Points into Club Vistara Points (CV Points) may do so by placing a points conversion/ transfer request through their online membership account or by email at clubitc.care@itc.in Members need to mention the Club Vistara and Club ITC membership ID along with the Green Points that they wish to convert.
85. Green Points to CV Points conversions shall take place in the ratio of 3 Club ITC Green points = 2 CV Points.
86. Club ITC members who wish to convert/transfer their Green Points into CV Points, must hold a valid and active Club Vistara Loyalty program membership account.
87. A minimum conversion of 600 Green Points is required per conversion request and thereafter in multiples of 150 Green Points.
88. A maximum of 60000 Green Points may be converted per member per calendar year.
89. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.

90. The appropriate number of Points shall be credited to the member's CV account as per the conversion ratio (3 Green Points = 2 CV Points) within 2-3 weeks of receipt of the conversion request.
91. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.
92. ITC Limited shall not be held responsible for the services rendered by Vistara either arising from the use of converted CV Points.

93. Further, ITC Limited shall not be held responsible for any claims/ damages and/or losses of any nature arising out of the availing of products and services provided by Vistara in any instance and the members shall hold ITC Limited harmless against any such claims/ damages and/ or losses.

94. In order to ensure timely processing of the conversion request, customers will need to ensure that the CV ID provided is correct.
95. CV Points converted will be governed by Club Vistara terms and conditions.

96. Club Vistara and ITC Hotels terms and conditions apply.
97. Vistara and ITC, reserve the right to modify, discontinue or terminate this arrangement, at any point without prior notice.
98. This offer shall be governed by the laws of India. Any dispute arising out of or in connection with this offer shall be subject to the exclusive jurisdiction of the courts of Delhi. By availing this offer, the customers shall be deemed to have accepted all the aforesaid terms and conditions.

99. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.

100. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

102. Issuance of gift certificates to the applicable extent for Travel House services. A minimum conversion of 500 Green Points is required per conversion request and thereafter in multiples of 500.

103. Exclusive Club ITC Reward Nights.
104. Redeem Green Points for Club ITC Culinaire membership for 16520 Green Points.
105. Green Points do not carry uniform values for the purpose of redemption across different Partners.
106. On redemption, the Club ITC Member's account shall stand debited by the number of Green Points redeemed.

107. All taxes and applicable incidental expenditures shall be borne by the Club ITC Member unless mentioned otherwise.

108. All policies for availability, cancellation, usage, stay etc. that ITC may have in respect of ITC Hotels, shall additionally apply to any availment by a Club ITC Member of the products/services of the relevant brand pursuant to a redemption or during incurring an Eligible Spend.
109. In case of availing instant redemption facility for settlement of bills, upon redemption of Green Points for adjustment against a part of the billed amount, the balance amount billed shall be settled by Club ITC Member in cash and/or recognized credit/debit card.

110. Redemption of the Green Points for issuance of Gift Certificates can be done by a Club ITC Member by accessing www.clubitc.in, contacting Customer Care and requesting for the redemption or writing to clubitc.care@itc.in.
111. Apart from the terms and conditions stated herein, the terms and conditions on a gift certificate shall also govern the receipt and utilization of the gift certificate.

112. ITC may impose additional terms and conditions on redemption of Green Points or usage of gift certificates, which shall be binding on Club ITC Members.
113. The type of redemption being sought shall determine the minimum number of days required to process the redemption which could range from approximately 7 to 30 working days
114. Taxes may additionally be levied on purchases via gift certificates, which shall be paid for by the Club ITC Member in cash and/or recognized credit/debit card.

115. All gift certificates shall be sent to the preferred mailing address of the Club ITC Member reflecting in the Club ITC account. If an envelope is received in a damaged condition, a Club ITC Member must not accept the same from the courier in order to receive a replacement from ITC. No replacement of gift certificate shall be provided or any such request entertained if the Club ITC member has accepted the delivery of the gift certificate.

116. Redemption requests once received or instantaneous redemptions once processed cannot be reversed and the relevant number of Green Points shall stand debited from the Club ITC Member's account on receipt of such redemption request or on instantaneous redemption.
117. Green Points can be redeemed for food orders through ITC Hotels app for home delivery or takeaway services. Green Points can be redeemed in part or full for payment of food orders through ITC hotels app including taxes and delivery charges.

H. RENEWAL OF MEMBERSHIP

118. Membership to the Programme is valid for a period of 1 calendar year from the date of payment of membership fees. It will be renewed every subsequent year, on payment of the prevailing membership fee. If a Member does not pay the requisite fee, the membership to the Programme will not be renewed and the membership benefits will not be available.
119. Members may renew their memberships in the last month of their membership by contacting the Club ITC Customer Care via mail/e-mail/phone/fax.

120. Payment towards renewing of memberships may be made in credit card/debit card or by redemption of Green Points (in case payment is to be made by Green Points, the Member must have the requisite number of points in their account; part payment via Green Points and another mode of payment is not permitted).
121. Renewal Benefit - All members who enrol into the program by paying the prevailing membership fee will receive a renewal benefit of 1500 bonus Green Points
I. EXPIRY OF POINTS

122. In case members renew their Programme membership, all Green Points earned and accumulated will be transferred to the new membership. Accumulated Green Points do not expire/lapse as long as Members renew their Programme membership.

123. In case Members, who were previously Members of Club ITC, do not renew their Club ITC Culinaire membership, they would migrate to the last Club ITC tier held OR to a tier basis last year’s performance (existing Club ITC rules) whichever is higher and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.

124. In case of non-renewal of membership by Members (other than erstwhile Club ITC members), they would migrate to Club ITC Member tier OR a higher tier basis performance and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.
J. ADDITIONAL TERMS

125. All interpretations of the Terms and Programme rules shall be at the sole discretion of ITC.

126. The Programme is applicable only at Participating Hotels & Participating Restaurants. However, certain restaurants at Participating Hotels and may not be part of the Programme. (for complete and updated list of participating hotels, restaurants, please visit www.itchotels.com/clubitc-culinaire).

127. The Programme has no predetermined termination date and may continue until such time as ITC decides to terminate the Programme, at any time, with or without notice to the Members. Accumulation of points will cease immediately on termination of the Programme.
128. ITC reserves the right to add, modify, delete or otherwise change any of the rules, conditions, privileges, benefits, rewards or reward levels pertaining to the Programme at its sole discretion, with or without notice, even though changes may affect the value of points already accumulated.
129. Without prejudice to other rights of ITC, the membership of a Member may be terminated by ITC at its sole discretion without assigning any reason, in the event ITC is of the view that any conduct of a Member is unacceptable or inappropriate.
130. Discontinued membership will result in the loss of all accumulated Green Points and the cancellation of all Programme rewards, benefits and privileges.
131. Members are responsible for remaining knowledgeable about the Programme rules and the number of points in their account. ITC will send correspondence to Members to advise them of matters of interest, including point updates. However, ITC will not be liable for any failure to do so and will not be responsible for correspondence lost or delayed in the mail.
132. ITC disclaims all responsibility and liability with respect to any act or omission by any of the partners, their directors, employees, agents or contractors.
133. ITC shall be entitled to use personal information provided by the Club ITC Culinaire Member for marketing of the Club ITC Culinaire Programme and various other offers & initiative by ITC Hotels via SMS/Email/ Whatsapp or any other medium, without further reference to the Club ITC Culinaire Member.
134. All communication will be mailed to the mailing address (postal and/or e-mail) given in the enrolment form and it is the responsibility of the Member to inform Club ITC Customer Care about any change in his/her address. All communication will be deemed to have been received by the Member and ITC bears no responsibility for communication not received or lost in the mail or courier.
135. All Club ITC Culinaire Members will receive an active membership card. In case members want to opt out of this service they are requested to call at 1800 103 2482 or email at clubitc.culinaire@itchotels.in to have the same deactivated.
K. BINDING DECISIONS OF ITC

136. All decisions by ITC in respect of this Programme or any element there of including, without limitation, in respect of the number of Green Points credited, exclusion of spends from Eligible Spends, redemption of Green Points, transfer or conversion of Green Points, eligibility for or exclusion from the membership selection of Club ITC Status, termination of membership at discretion of ITC, closure or earlier withdrawal of Programme, etc. shall be final and binding on a Member or prospective Member.
L. LIMITATION OF LIABILITY

137. ITC or its directors, employees, agents, affiliates or contractors shall not be held liable for any direct, indirect, special, consequential, remote or punitive losses, damages, costs and expenses, howsoever suffered or threatening to arise against a Member or prospective Member, with or without any act, breach or omission by ITC or its directors, employees, agents, affiliates or contractors, or its Partners and their directors, employees, agents, affiliates or contractors.
M. APPLICABLE TERMS AND CONDITIONS

138. The benefits, privileges, terms and conditions for the Programme specified may change at the discretion of ITC from time to time. All such changes shall be effective from the date of posting at the website www.clubitc.in/culinaire and shall be binding on a Programme Member. Members are requested to update themselves by visiting www.clubitc.in/culinaire on any changes there to which may not be separately intimated by ITC or brought to the attention of a Member.

N.  JURISDICTION

139.Any and all disputes arising out of this Programme and its terms and condition shall be subject to the exclusive jurisdiction of courts in Delhi.

A. PROGRAMME DESCRIPTION

1. The Club ITC Culinaire (hereinafter referred to as "Programme") is the luxury dining programme offered by ITC Limited (hereafter referred to as ITC). The same is a paid programme offering a set of defined benefits to enrolled members.

B. DEFINITIONS

2. Member: Means a person whose application for membership of the programme has been accepted by ITC and who is subject to the membership terms set out herein.
3. Primary Member: An individual enrolled into the programme on payment of the prevailing primary membership fee.
4. Spouse Member: An individual enrolled into the programme on a membership on the basis of the primary membership of his/her spouse.
5. Green Points: Means the points which are credited to the account maintained in the name of the Member by making Eligible Spends.
6. Customer Care: Is the contact point of Club ITC Culinaire at clubitc.culinaire@itchotels.in or 1800-103-2482
7. Participating Hotels: For complete list of Participating Hotels, please visit the website www.itchotels.com/clubitc-culinaire
8. Participating Restaurants: All restaurants at Participating Hotels unless specified otherwise.
9. Eligible Spends: Are the spends on the basis of which Green Points accrue to the credit of the Programme Member and are monetary amounts (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) spent by a Member on identified brands of ITC and include the following:
a. While dining as a non-resident at Participating Hotels, except Fortune and WelcomHeritage Hotels- Expenses (exclusive of ineligible spends, taxes, discounts, paid outs, gratuities and service charges) incurred by a Member towards any food and beverage consumed at Participating Restaurants.
b. While staying at Participating Hotels, except WelcomHeritage Hotels - Expenses (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) incurred by a resident Member towards: Stay/accommodation, any food and beverage consumed which are billed to the room account, any service availed billed to the room account except banquet and conference expenses, any purchase of Essenza Di Wills personal care products billed to the room account, any purchase of Kitchens of India ready-to-eat products, purchase at Fabelle boutiques billed to the room account, any purchase of services at spas, business centres and salons, billed to the room account.
c. Eligible Food spends: All expenses incurred at Participating Restaurants by a Programme Member while dining including special menus, set menus, buffets (with or without alcohol), soft and alcoholic beverages as well as spends on In-Room Dining, mini bar and Gourmet Shops for dine in or take-away, will qualify to be treated as an Eligible Spends.
10.Members will earn points on any eligible food spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA). 11. Members will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA).
12. Expense incurred on banquet and conference spends and on special events shall not qualify as an Eligible Spend.
13. Partner: Is the brand of a third party entity with which ITC has or may have an alliance to enable the Programme Member to redeem Green Points.
C. ENROLLING INTO CLUB ITC CULINAIRE

14. Membership to the Programme is open to all individuals who are aged 18 years and above.
15. The membership is open only to individuals. Corporations, associations or groups cannot enroll into the Programme.
16. The Programme is open to resident Indian nationals or a foreigner/non-resident Indian holding a valid work permit and residing in India.
17. The Programme is not open to employees of ITC Ltd. and its subsidiary companies.
18. Membership and benefits of the Programme are offered at the sole discretion of ITC and ITC reserves the right to grant or refuse membership.
19. Enrolment into the Programme must be in the individuals full legal name, and will be processed only on payment of the prevailing membership fee in INR and on submission of enrollment form with a full and correct postal address and a valid telephone number in India as well as a valid e-mail address. Both enrolling members would need to share all mentioned information/documents.
20. On enrolment, Members shall be provided with a Club ITC Culinaire Membership Card with such details as may be deemed fit by ITC including a membership number. The card will be valid only for the period indicated on it.
21. The duration of the membership shall be for a period of 12 calendar months from the date of issuance of the membership card. The date of expiry of both memberships (Primary & Spouse) shall be the same, irrespective of the date of enrollment of the Spouse member.
22. The Club ITC Culinaire Card may be used only by the Member in whose name the card is issued and is not transferable. The Club ITC Culinaire Card will be sent to the preferred postal address specified by the Member during enrolment.
23. Existing Club ITC Members, enrolling in the Programme will be provided a new Card but will retain their Club ITC Membership Number. Their point balance would be transferred to the new card.
24. By receiving the Club ITC Culinaire card or by referring to the membership number during any transaction including a redemption request, a Member shall be deemed to have accepted the terms and conditions for the Programme specified from time to time at www.itchotels.com/clubitc-culinaire.
25. In case of non-receipt of the Membership card and/or Green Points not credited for Eligible Spends after the date of enrollment, it is incumbent on the Member to communicate the same within 30 days of either of the events to the Club ITC Customer Care, in writing.
26. In order to avail Programme benefits the Member must present the Club ITC Culinaire Card.
27. If the Club ITC Culinaire card is lost, damaged or stolen, the Member must inform ITC by calling or writing to the Club ITC Customer Care at 1800-103-2482 or clubitc.culinaire@itchotels.in..

D. CANCELLATION OF MEMBERSHIPS

28. Members wishing to cancel their Club ITC Culinaire membership may do so within 30 days of issue of the membership card, by returning the membership card and all accompanying certificates. Refund requests will only be entertained if the Card and all certificates are returned.
29. Refunds will be made via cheque in case the membership fee had been paid via cheque/cash/creditcard. In cases where the Member had paid the membership fee via redemption of Green Points, membership fee will be refunded by crediting back the Green Points. Any Green Points redeemed, which were earned during the tenure of the Club ITC Culinaire Membership, shall be deducted before a refund credit is made.
30. Any Green Points earned by the Member during his/her Club ITC Culinaire membership would be forfeit at the time of cancellation.
31. Programme Members who were Club ITC Members will return to their previous Club ITC tier on cancelling their Club ITC Culinaire membership.
32. Members wishing to cancel their Club ITC Culinaire membership after 30 days of issue or renewal of the membership card shall forfeit the entire membership fee.
33. In case there is a Spouse membership linked with the membership being cancelled, the Spouse membership will also stand cancelled automatically.

E. MEMBERSHIP BENEFITS

34. Members of the Programme will earn Green Points and / or will be entitled to savings and other benefits while incurring expenses on Eligible Spends at all Participating Hotels as per the terms and conditions of the Programme.

40. Members cannot maintain membership in, or earn points on multiple accounts.
F. EARNING OF POINTS

41. Points will be awarded on all Eligible Spends at Participating Hotels/Restaurants only from the date of Members enrolment into the Programme.
42. Members can earn Green Points only on Eligible Spends from the Programme commencement date. No points will be earned for any amounts charged before the commencement date of the Programme. This includes cases where a Member has checked in to a hotel before the Programme is launched at that hotel and checks out after the start date of the Programme at that hotel. For example: if a member checks in on 01 May, 2022 and checks out on 10 May, 2022 and the start date of the Programme for that hotel is 08 May, 2022, then the member will earn points only for eligible expenditure from 08 May, 2022 onwards.
43. Green Points issued have no monetary value and cannot be bartered or sold by Members for cash at any point of time. These points may only be redeemed in accordance with the Terms of the Programme. Members have no ownership interest in accrued Green Points and accrued Green Points are not the property of the Members.
44. Members may pool/transfer Green Points to the spouse memberships linked with their account and vice versa. No other form of transfer/barter/sale/purchase of Green Points is allowed.
45. Green Points will be automatically recorded if the Club ITC Culinaire membership card is presented at the time of check-in/out, settlement of dining bills at participating hotels.
46. Green Points will not be credited unless the Card is presented while settling transactions at Participating Hotels.
47. Points will only be available for redemption after they have been credited into and reflecting on the members account. Points that do not reflect in a members account cannot be redeemed.
48. All Members will receive an update on points status post every transaction. Additionally, members may log on to the Programme website, access their accounts and view their detailed account statement.
49. Green Points can only be earned in whole numbers. In the event, the Green Points for a transaction resulting in a number with decimal value, the number of Green Points will be rounded up or down to the nearest whole number.
50. In cases where the Member or the Members company is given a discount after the stay has been completed, the appropriate number of points will be deducted from the Members balance although he or she may have already been communicated the point status on the basis of the non-discounted amount.
51. ITC reserves the right to deduct points from a Members account balance if the points have been erroneously recorded under the account.
52. If a Member of the Programme is also a member of any other programme, loyalty or otherwise, whose members/card holders are also entitled to benefits (discounts, earning of points or any other benefits/privileges) at ITC Hotels, the Member will have to select the programme he/she would like to avail the benefits of. A Member cannot avail the benefits of any two programmes simultaneously for the same transaction.
53. No Green Points will be credited for stays made against experience certificates.
54. A Club ITC Culinaire Member may earn Green Points for up to three (3) rooms per night (Club ITC Member's room and two (2) additional rooms) within the same Participating Hotel. The Club ITC Culinaire Member must be occupying at least one of the rooms, and paying an Eligible Rate for all applicable rooms. In addition, only the room occupied by the Club ITC Culinaire Member shall receive Club ITC Programme benefits and services. The occupant(s) of the additional room(s) shall not receive Green Points or any other Club ITC Programme benefit.
55. In case two Club ITC Culinaire Members are sharing one room, Green Points shall only be awarded to the Club ITC membership account of the Club ITC Member settling the bill for the stay or that is billed back to that Club ITC Member's company for payment (and is not settled to a group master folio/posting master).
56. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group or post master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.
57. In case of consecutive stays of more than 30 nights at a participating hotel, the Club ITC member shall receive a one-time credit of Club ITC Green Points for up to 30 nights upon settlement of the invoice directly by the member or raising of the invoice upon the member's employer company/organization as the case may be.
58. Subject to other terms, a Member eligible for any discounted price for any Eligible Spend will earn Green Points only on the billed amount net of discounts and exclusive of taxes. It is clarified that Green Points cannot be earned on purchases made by any gift/privilege/discount/store credit or Gift Certificate, instant redemption, etc. by whatever name called, issued by any entity including IT.
59. In the event of a hotel bill comprising of food expenses, accommodation expenses, other charges and taxes being settled via a mix of Green Points and/or vouchers/certificates and any other mode of payment (cash, cheque, cards, etc.) the Green Points and/or vouchers/certificates would be set off, 1st against food expenses, then accommodation expenses, then other charges and finally taxes.
60. Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs). Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Further, a member will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agents (OTAs).
61. It is recommended that Members retain all invoices of dining experiences/hotel stays until the point credit(s) for the transaction has been communicated. In the event of dispute with respect to the accumulation of Green Points/Eligible Spends, the amounts specified in the invoices shall be considered to be binding.
62. In case a Member does not receive Green Points for an Eligible Spend despite having presented the card while settling the transaction, the member must communicate the same to Club ITC Customer Care via mail/ e-mail/ fax or phone within 180 days from date of transaction and would be required to supply a copy of hotel usage bill(s). No points will be given for failure to supply original invoices.
63. This retrospective crediting of points will be offered to Members only on presentation of original invoices. No crediting will be done where the Member has failed to present his/her membership card at the time of bill settlement.
64. Accrued points do not constitute property of the members. In the event of death, the Club ITC Culinaire membership will be suspended and all accrued points will stand cancelled.
65. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group; master folio; or posting master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Culinaire Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.

66.Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs).
Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Only other Eligible Charges, Food & Beverages (at restaurants, room service and mini-bars), laundry, spa, salon, telecommunication & business centre services etc. billed to the room for which the Club ITC Culinaire Member personally pays are eligible for Green Points credit.
G. REDEMPTIONS

67. Green Points can be redeemed by a Club ITC Culinaire Member for:
(i) Instant settlement of bills at Participating Hotels for stays, food and beverage, spas, business centre facilities, etc.
(ii) Conversion of Green Points to Partner hotel points as mentioned on www.itchotels.com
(iii) Food orders (Home delivery/ takeaways ) through ITC Hotels app.
68. Club ITC members who wish to convert/ transfer their Green Points into Marriott Loyalty programme Points may do so by placing a points conversion/ transfer request through their online membership account or by email clubitc.care@itc.in.
69. Green Points to Marriott Loyalty programme Points conversions shall take place in the ratio of 2 Club ITC Green points = 3 Marriott Loyalty programme Points.
70. Club ITC members who wish to convert/transfer their Green Points into Marriott Loyalty programme Points, must hold a valid and active Marriott Loyalty programme membership account.
71. A minimum conversion of 2,000 Green Points is required per conversion request and thereafter in multiples of 100.
72. A maximum of 60,000 Green Points may be converted per member per calendar year.
73. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.
74. The appropriate number of Points shall be credited to the member's Marriott Loyalty programme account as per the conversion ratio (2 Green Points = 3 Points) within 8-10 weeks of receipt of the conversion request.
75. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.

76. ITC Limited shall not be held responsible for the services rendered by Marriott Hotels & Resorts either arising from the use of converted Marriott Loyalty programme to Points or otherwis.

79. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.
80. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

83. Terms and conditions for conversion of Club ITC Green Points to Club Vistara Points.
84. Club ITC members who wish to convert/ transfer their Green Points into Club Vistara Points (CV Points) may do so by placing a points conversion/ transfer request through their online membership account or by email at clubitc.care@itc.in Members need to mention the Club Vistara and Club ITC membership ID along with the Green Points that they wish to convert.
85. Green Points to CV Points conversions shall take place in the ratio of 3 Club ITC Green points = 2 CV Points.
86. Club ITC members who wish to convert/transfer their Green Points into CV Points, must hold a valid and active Club Vistara Loyalty program membership account.
87. A minimum conversion of 600 Green Points is required per conversion request and thereafter in multiples of 150 Green Points.
88. A maximum of 60000 Green Points may be converted per member per calendar year.
89. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.

90. The appropriate number of Points shall be credited to the member's CV account as per the conversion ratio (3 Green Points = 2 CV Points) within 2-3 weeks of receipt of the conversion request.
91. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.
92. ITC Limited shall not be held responsible for the services rendered by Vistara either arising from the use of converted CV Points.

93. Further, ITC Limited shall not be held responsible for any claims/ damages and/or losses of any nature arising out of the availing of products and services provided by Vistara in any instance and the members shall hold ITC Limited harmless against any such claims/ damages and/ or losses.

94. In order to ensure timely processing of the conversion request, customers will need to ensure that the CV ID provided is correct.
95. CV Points converted will be governed by Club Vistara terms and conditions.

96. Club Vistara and ITC Hotels terms and conditions apply.
97. Vistara and ITC, reserve the right to modify, discontinue or terminate this arrangement, at any point without prior notice.
98. This offer shall be governed by the laws of India. Any dispute arising out of or in connection with this offer shall be subject to the exclusive jurisdiction of the courts of Delhi. By availing this offer, the customers shall be deemed to have accepted all the aforesaid terms and conditions.

102. Issuance of gift certificates to the applicable extent for Travel House services. A minimum conversion of 500 Green Points is required per conversion request and thereafter in multiples of 500.

105. Green Points do not carry uniform values for the purpose of redemption across different Partners.

107. All taxes and applicable incidental expenditures shall be borne by the Club ITC Member unless mentioned otherwise.

108. All policies for availability, cancellation, usage, stay etc. that ITC may have in respect of ITC Hotels, shall additionally apply to any availment by a Club ITC Member of the products/services of the relevant brand pursuant to a redemption or during incurring an Eligible Spend.
109. In case of availing instant redemption facility for settlement of bills, upon redemption of Green Points for adjustment against a part of the billed amount, the balance amount billed shall be settled by Club ITC Member in cash and/or recognized credit/debit card.

110. Redemption of the Green Points for issuance of Gift Certificates can be done by a Club ITC Member by accessing www.clubitc.in, contacting Customer Care and requesting for the redemption or writing to clubitc.care@itc.in.
111. Apart from the terms and conditions stated herein, the terms and conditions on a gift certificate shall also govern the receipt and utilization of the gift certificate.

112. ITC may impose additional terms and conditions on redemption of Green Points or usage of gift certificates, which shall be binding on Club ITC Members.
113. The type of redemption being sought shall determine the minimum number of days required to process the redemption which could range from approximately 7 to 30 working days
114. Taxes may additionally be levied on purchases via gift certificates, which shall be paid for by the Club ITC Member in cash and/or recognized credit/debit card.

115. All gift certificates shall be sent to the preferred mailing address of the Club ITC Member reflecting in the Club ITC account. If an envelope is received in a damaged condition, a Club ITC Member must not accept the same from the courier in order to receive a replacement from ITC. No replacement of gift certificate shall be provided or any such request entertained if the Club ITC member has accepted the delivery of the gift certificate.

116. Redemption requests once received or instantaneous redemptions once processed cannot be reversed and the relevant number of Green Points shall stand debited from the Club ITC Member's account on receipt of such redemption request or on instantaneous redemption.
117. Green Points can be redeemed for food orders through ITC Hotels app for home delivery or takeaway services. Green Points can be redeemed in part or full for payment of food orders through ITC hotels app including taxes and delivery charges.

H. RENEWAL OF MEMBERSHIP

118. Membership to the Programme is valid for a period of 1 calendar year from the date of payment of membership fees. It will be renewed every subsequent year, on payment of the prevailing membership fee. If a Member does not pay the requisite fee, the membership to the Programme will not be renewed and the membership benefits will not be available.
119. Members may renew their memberships in the last month of their membership by contacting the Club ITC Customer Care via mail/e-mail/phone/fax.

120. Payment towards renewing of memberships may be made in credit card/debit card or by redemption of Green Points (in case payment is to be made by Green Points, the Member must have the requisite number of points in their account; part payment via Green Points and another mode of payment is not permitted).
121. Renewal Benefit - All members who enrol into the program by paying the prevailing membership fee will receive a renewal benefit of 1500 bonus Green Points
I. EXPIRY OF POINTS

122. In case members renew their Programme membership, all Green Points earned and accumulated will be transferred to the new membership. Accumulated Green Points do not expire/lapse as long as Members renew their Programme membership.

123. In case Members, who were previously Members of Club ITC, do not renew their Club ITC Culinaire membership, they would migrate to the last Club ITC tier held OR to a tier basis last year’s performance (existing Club ITC rules) whichever is higher and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.

124. In case of non-renewal of membership by Members (other than erstwhile Club ITC members), they would migrate to Club ITC Member tier OR a higher tier basis performance and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.
J. ADDITIONAL TERMS

125. All interpretations of the Terms and Programme rules shall be at the sole discretion of ITC.

126. The Programme is applicable only at Participating Hotels & Participating Restaurants. However, certain restaurants at Participating Hotels and may not be part of the Programme. (for complete and updated list of participating hotels, restaurants, please visit www.itchotels.com/clubitc-culinaire).

127. The Programme has no predetermined termination date and may continue until such time as ITC decides to terminate the Programme, at any time, with or without notice to the Members. Accumulation of points will cease immediately on termination of the Programme.
128. ITC reserves the right to add, modify, delete or otherwise change any of the rules, conditions, privileges, benefits, rewards or reward levels pertaining to the Programme at its sole discretion, with or without notice, even though changes may affect the value of points already accumulated.
129. Without prejudice to other rights of ITC, the membership of a Member may be terminated by ITC at its sole discretion without assigning any reason, in the event ITC is of the view that any conduct of a Member is unacceptable or inappropriate.
130. Discontinued membership will result in the loss of all accumulated Green Points and the cancellation of all Programme rewards, benefits and privileges.
131. Members are responsible for remaining knowledgeable about the Programme rules and the number of points in their account. ITC will send correspondence to Members to advise them of matters of interest, including point updates. However, ITC will not be liable for any failure to do so and will not be responsible for correspondence lost or delayed in the mail.
132. ITC disclaims all responsibility and liability with respect to any act or omission by any of the partners, their directors, employees, agents or contractors.
133. ITC shall be entitled to use personal information provided by the Club ITC Culinaire Member for marketing of the Club ITC Culinaire Programme and various other offers & initiative by ITC Hotels via SMS/Email/ Whatsapp or any other medium, without further reference to the Club ITC Culinaire Member.
134. All communication will be mailed to the mailing address (postal and/or e-mail) given in the enrolment form and it is the responsibility of the Member to inform Club ITC Customer Care about any change in his/her address. All communication will be deemed to have been received by the Member and ITC bears no responsibility for communication not received or lost in the mail or courier.
135. All Club ITC Culinaire Members will receive an active membership card. In case members want to opt out of this service they are requested to call at 1800 103 2482 or email at clubitc.culinaire@itchotels.in to have the same deactivated.
K. BINDING DECISIONS OF ITC

136. All decisions by ITC in respect of this Programme or any element there of including, without limitation, in respect of the number of Green Points credited, exclusion of spends from Eligible Spends, redemption of Green Points, transfer or conversion of Green Points, eligibility for or exclusion from the membership selection of Club ITC Status, termination of membership at discretion of ITC, closure or earlier withdrawal of Programme, etc. shall be final and binding on a Member or prospective Member.
L. LIMITATION OF LIABILITY

137. ITC or its directors, employees, agents, affiliates or contractors shall not be held liable for any direct, indirect, special, consequential, remote or punitive losses, damages, costs and expenses, howsoever suffered or threatening to arise against a Member or prospective Member, with or without any act, breach or omission by ITC or its directors, employees, agents, affiliates or contractors, or its Partners and their directors, employees, agents, affiliates or contractors.
M. APPLICABLE TERMS AND CONDITIONS

138. The benefits, privileges, terms and conditions for the Programme specified may change at the discretion of ITC from time to time. All such changes shall be effective from the date of posting at the website www.clubitc.in/culinaire and shall be binding on a Programme Member. Members are requested to update themselves by visiting www.clubitc.in/culinaire on any changes there to which may not be separately intimated by ITC or brought to the attention of a Member.

N.  JURISDICTION

139.Any and all disputes arising out of this Programme and its terms and condition shall be subject to the exclusive jurisdiction of courts in Delhi.

A. PROGRAMME DESCRIPTION

1. The Club ITC Culinaire (hereinafter referred to as "Programme") is the luxury dining programme offered by ITC Limited (hereafter referred to as ITC). The same is a paid programme offering a set of defined benefits to enrolled members.

B. DEFINITIONS

2. Member: Means a person whose application for membership of the programme has been accepted by ITC and who is subject to the membership terms set out herein.
3. Primary Member: An individual enrolled into the programme on payment of the prevailing primary membership fee.
4. Spouse Member: An individual enrolled into the programme on a membership on the basis of the primary membership of his/her spouse.
5. Green Points: Means the points which are credited to the account maintained in the name of the Member by making Eligible Spends.

7. Participating Hotels: For complete list of Participating Hotels, please visit the website www.itchotels.com/clubitc-culinaire
8. Participating Restaurants: All restaurants at Participating Hotels unless specified otherwise.
9. Eligible Spends: Are the spends on the basis of which Green Points accrue to the credit of the Programme Member and are monetary amounts (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) spent by a Member on identified brands of ITC and include the following:
a. While dining as a non-resident at Participating Hotels, except Fortune and WelcomHeritage Hotels- Expenses (exclusive of ineligible spends, taxes, discounts, paid outs, gratuities and service charges) incurred by a Member towards any food and beverage consumed at Participating Restaurants.
b. While staying at Participating Hotels, except WelcomHeritage Hotels - Expenses (exclusive of ineligible rates, taxes, discounts, paid outs, gratuities and service charges) incurred by a resident Member towards: Stay/accommodation, any food and beverage consumed which are billed to the room account, any service availed billed to the room account except banquet and conference expenses, any purchase of Essenza Di Wills personal care products billed to the room account, any purchase of Kitchens of India ready-to-eat products, purchase at Fabelle boutiques billed to the room account, any purchase of services at spas, business centres and salons, billed to the room account.
c. Eligible Food spends: All expenses incurred at Participating Restaurants by a Programme Member while dining including special menus, set menus, buffets (with or without alcohol), soft and alcoholic beverages as well as spends on In-Room Dining, mini bar and Gourmet Shops for dine in or take-away, will qualify to be treated as an Eligible Spends.
10.Members will earn points on any eligible food spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA). 11. Members will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agent (OTA).
12. Expense incurred on banquet and conference spends and on special events shall not qualify as an Eligible Spend.
13. Partner: Is the brand of a third party entity with which ITC has or may have an alliance to enable the Programme Member to redeem Green Points.
C. ENROLLING INTO CLUB ITC CULINAIRE

14. Membership to the Programme is open to all individuals who are aged 18 years and above.
15. The membership is open only to individuals. Corporations, associations or groups cannot enroll into the Programme.
16. The Programme is open to resident Indian nationals or a foreigner/non-resident Indian holding a valid work permit and residing in India.
17. The Programme is not open to employees of ITC Ltd. and its subsidiary companies.
18. Membership and benefits of the Programme are offered at the sole discretion of ITC and ITC reserves the right to grant or refuse membership.
19. Enrolment into the Programme must be in the individuals full legal name, and will be processed only on payment of the prevailing membership fee in INR and on submission of enrollment form with a full and correct postal address and a valid telephone number in India as well as a valid e-mail address. Both enrolling members would need to share all mentioned information/documents.
20. On enrolment, Members shall be provided with a Club ITC Culinaire Membership Card with such details as may be deemed fit by ITC including a membership number. The card will be valid only for the period indicated on it.
21. The duration of the membership shall be for a period of 12 calendar months from the date of issuance of the membership card. The date of expiry of both memberships (Primary & Spouse) shall be the same, irrespective of the date of enrollment of the Spouse member.
22. The Club ITC Culinaire Card may be used only by the Member in whose name the card is issued and is not transferable. The Club ITC Culinaire Card will be sent to the preferred postal address specified by the Member during enrolment.
23. Existing Club ITC Members, enrolling in the Programme will be provided a new Card but will retain their Club ITC Membership Number. Their point balance would be transferred to the new card.
24. By receiving the Club ITC Culinaire card or by referring to the membership number during any transaction including a redemption request, a Member shall be deemed to have accepted the terms and conditions for the Programme specified from time to time at www.itchotels.com/clubitc-culinaire.
25. In case of non-receipt of the Membership card and/or Green Points not credited for Eligible Spends after the date of enrollment, it is incumbent on the Member to communicate the same within 30 days of either of the events to the Club ITC Customer Care, in writing.
26. In order to avail Programme benefits the Member must present the Club ITC Culinaire Card.
27. If the Club ITC Culinaire card is lost, damaged or stolen, the Member must inform ITC by calling or writing to the Club ITC Customer Care at 1800-103-2482 or clubitc.culinaire@itchotels.in..

D. CANCELLATION OF MEMBERSHIPS

28. Members wishing to cancel their Club ITC Culinaire membership may do so within 30 days of issue of the membership card, by returning the membership card and all accompanying certificates. Refund requests will only be entertained if the Card and all certificates are returned.
29. Refunds will be made via cheque in case the membership fee had been paid via cheque/cash/creditcard. In cases where the Member had paid the membership fee via redemption of Green Points, membership fee will be refunded by crediting back the Green Points. Any Green Points redeemed, which were earned during the tenure of the Club ITC Culinaire Membership, shall be deducted before a refund credit is made.
30. Any Green Points earned by the Member during his/her Club ITC Culinaire membership would be forfeit at the time of cancellation.
31. Programme Members who were Club ITC Members will return to their previous Club ITC tier on cancelling their Club ITC Culinaire membership.
32. Members wishing to cancel their Club ITC Culinaire membership after 30 days of issue or renewal of the membership card shall forfeit the entire membership fee.
33. In case there is a Spouse membership linked with the membership being cancelled, the Spouse membership will also stand cancelled automatically.

E. MEMBERSHIP BENEFITS

34. Members of the Programme will earn Green Points and / or will be entitled to savings and other benefits while incurring expenses on Eligible Spends at all Participating Hotels as per the terms and conditions of the Programme.

40. Members cannot maintain membership in, or earn points on multiple accounts.
F. EARNING OF POINTS

41. Points will be awarded on all Eligible Spends at Participating Hotels/Restaurants only from the date of Members enrolment into the Programme.
42. Members can earn Green Points only on Eligible Spends from the Programme commencement date. No points will be earned for any amounts charged before the commencement date of the Programme. This includes cases where a Member has checked in to a hotel before the Programme is launched at that hotel and checks out after the start date of the Programme at that hotel. For example: if a member checks in on 01 May, 2022 and checks out on 10 May, 2022 and the start date of the Programme for that hotel is 08 May, 2022, then the member will earn points only for eligible expenditure from 08 May, 2022 onwards.
43. Green Points issued have no monetary value and cannot be bartered or sold by Members for cash at any point of time. These points may only be redeemed in accordance with the Terms of the Programme. Members have no ownership interest in accrued Green Points and accrued Green Points are not the property of the Members.
44. Members may pool/transfer Green Points to the spouse memberships linked with their account and vice versa. No other form of transfer/barter/sale/purchase of Green Points is allowed.
45. Green Points will be automatically recorded if the Club ITC Culinaire membership card is presented at the time of check-in/out, settlement of dining bills at participating hotels.
46. Green Points will not be credited unless the Card is presented while settling transactions at Participating Hotels.
47. Points will only be available for redemption after they have been credited into and reflecting on the members account. Points that do not reflect in a members account cannot be redeemed.
48. All Members will receive an update on points status post every transaction. Additionally, members may log on to the Programme website, access their accounts and view their detailed account statement.
49. Green Points can only be earned in whole numbers. In the event, the Green Points for a transaction resulting in a number with decimal value, the number of Green Points will be rounded up or down to the nearest whole number.
50. In cases where the Member or the Members company is given a discount after the stay has been completed, the appropriate number of points will be deducted from the Members balance although he or she may have already been communicated the point status on the basis of the non-discounted amount.
51. ITC reserves the right to deduct points from a Members account balance if the points have been erroneously recorded under the account.
52. If a Member of the Programme is also a member of any other programme, loyalty or otherwise, whose members/card holders are also entitled to benefits (discounts, earning of points or any other benefits/privileges) at ITC Hotels, the Member will have to select the programme he/she would like to avail the benefits of. A Member cannot avail the benefits of any two programmes simultaneously for the same transaction.
53. No Green Points will be credited for stays made against experience certificates.
54. A Club ITC Culinaire Member may earn Green Points for up to three (3) rooms per night (Club ITC Member's room and two (2) additional rooms) within the same Participating Hotel. The Club ITC Culinaire Member must be occupying at least one of the rooms, and paying an Eligible Rate for all applicable rooms. In addition, only the room occupied by the Club ITC Culinaire Member shall receive Club ITC Programme benefits and services. The occupant(s) of the additional room(s) shall not receive Green Points or any other Club ITC Programme benefit.
55. In case two Club ITC Culinaire Members are sharing one room, Green Points shall only be awarded to the Club ITC membership account of the Club ITC Member settling the bill for the stay or that is billed back to that Club ITC Member's company for payment (and is not settled to a group master folio/posting master).
56. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group or post master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.
57. In case of consecutive stays of more than 30 nights at a participating hotel, the Club ITC member shall receive a one-time credit of Club ITC Green Points for up to 30 nights upon settlement of the invoice directly by the member or raising of the invoice upon the member's employer company/organization as the case may be.
58. Subject to other terms, a Member eligible for any discounted price for any Eligible Spend will earn Green Points only on the billed amount net of discounts and exclusive of taxes. It is clarified that Green Points cannot be earned on purchases made by any gift/privilege/discount/store credit or Gift Certificate, instant redemption, etc. by whatever name called, issued by any entity including IT.
59. In the event of a hotel bill comprising of food expenses, accommodation expenses, other charges and taxes being settled via a mix of Green Points and/or vouchers/certificates and any other mode of payment (cash, cheque, cards, etc.) the Green Points and/or vouchers/certificates would be set off, 1st against food expenses, then accommodation expenses, then other charges and finally taxes.
60. Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs). Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Further, a member will not earn points on any eligible spends made at participating ITC Hotels, if the booking has been made through an Online Travel Agents (OTAs).
61. It is recommended that Members retain all invoices of dining experiences/hotel stays until the point credit(s) for the transaction has been communicated. In the event of dispute with respect to the accumulation of Green Points/Eligible Spends, the amounts specified in the invoices shall be considered to be binding.
62. In case a Member does not receive Green Points for an Eligible Spend despite having presented the card while settling the transaction, the member must communicate the same to Club ITC Customer Care via mail/ e-mail/ fax or phone within 180 days from date of transaction and would be required to supply a copy of hotel usage bill(s). No points will be given for failure to supply original invoices.
63. This retrospective crediting of points will be offered to Members only on presentation of original invoices. No crediting will be done where the Member has failed to present his/her membership card at the time of bill settlement.
64. Accrued points do not constitute property of the members. In the event of death, the Club ITC Culinaire membership will be suspended and all accrued points will stand cancelled.
65. When attending a meeting, event, or conference, all charges made by Club ITC Culinaire Members that are placed on a group; master folio; or posting master; (to be paid by a company, association, group, or other event organizer) shall not be eligible for Green Points. Only other individual Eligible Charges (Food & Beverage, Spa, Laundry, Telephone, etc. billed to the room) for which the Club ITC Culinaire Member personally pays or that are directly billed back to the Club ITC Culinaire Member's company or organization for payment (and are not settled to a group master folio/posting master) shall be eligible for Green Points.

66.Members are NOT eligible to earn Green Points or receive any tier related benefits towards stays arising from bookings made through Online Travel Agents (OTAs).
Furthermore, a stay arising from a booking made through an OTA shall not qualify towards the room nights or stay criteria for tier status upgrade/renewal and any promotional offers. Only other Eligible Charges, Food & Beverages (at restaurants, room service and mini-bars), laundry, spa, salon, telecommunication & business centre services etc. billed to the room for which the Club ITC Culinaire Member personally pays are eligible for Green Points credit.
G. REDEMPTIONS

67. Green Points can be redeemed by a Club ITC Culinaire Member for:
(i) Instant settlement of bills at Participating Hotels for stays, food and beverage, spas, business centre facilities, etc.
(ii) Conversion of Green Points to Partner hotel points as mentioned on www.itchotels.com
(iii) Food orders (Home delivery/ takeaways ) through ITC Hotels app.
68. Club ITC members who wish to convert/ transfer their Green Points into Marriott Loyalty programme Points may do so by placing a points conversion/ transfer request through their online membership account or by email clubitc.care@itc.in.
69. Green Points to Marriott Loyalty programme Points conversions shall take place in the ratio of 2 Club ITC Green points = 3 Marriott Loyalty programme Points.
70. Club ITC members who wish to convert/transfer their Green Points into Marriott Loyalty programme Points, must hold a valid and active Marriott Loyalty programme membership account.
71. A minimum conversion of 2,000 Green Points is required per conversion request and thereafter in multiples of 100.
72. A maximum of 60,000 Green Points may be converted per member per calendar year.
73. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.
74. The appropriate number of Points shall be credited to the member's Marriott Loyalty programme account as per the conversion ratio (2 Green Points = 3 Points) within 8-10 weeks of receipt of the conversion request.
75. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.

76. ITC Limited shall not be held responsible for the services rendered by Marriott Hotels & Resorts either arising from the use of converted Marriott Loyalty programme to Points or otherwis.

79. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.
80. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

84. Club ITC members who wish to convert/ transfer their Green Points into Club Vistara Points (CV Points) may do so by placing a points conversion/ transfer request through their online membership account or by email at clubitc.care@itc.in Members need to mention the Club Vistara and Club ITC membership ID along with the Green Points that they wish to convert.
85. Green Points to CV Points conversions shall take place in the ratio of 3 Club ITC Green points = 2 CV Points.
86. Club ITC members who wish to convert/transfer their Green Points into CV Points, must hold a valid and active Club Vistara Loyalty program membership account.
87. A minimum conversion of 600 Green Points is required per conversion request and thereafter in multiples of 150 Green Points.
88. A maximum of 60000 Green Points may be converted per member per calendar year.
89. Upon receiving a conversion request, the converted Green Points shall be debited from the Club ITC membership account immediately.

90. The appropriate number of Points shall be credited to the member's CV account as per the conversion ratio (3 Green Points = 2 CV Points) within 2-3 weeks of receipt of the conversion request.
91. Green Points once debited towards conversion for Points, cannot be reversed or credited back to the Club ITC member's account. They cannot be exchanged for cash or any other redemption option available through the Club ITC programme.
92. ITC Limited shall not be held responsible for the services rendered by Vistara either arising from the use of converted CV Points.

93. Further, ITC Limited shall not be held responsible for any claims/ damages and/or losses of any nature arising out of the availing of products and services provided by Vistara in any instance and the members shall hold ITC Limited harmless against any such claims/ damages and/ or losses.

94. In order to ensure timely processing of the conversion request, customers will need to ensure that the CV ID provided is correct.
95. CV Points converted will be governed by Club Vistara terms and conditions.

96. Club Vistara and ITC Hotels terms and conditions apply.
97. Vistara and ITC, reserve the right to modify, discontinue or terminate this arrangement, at any point without prior notice.
98. This offer shall be governed by the laws of India. Any dispute arising out of or in connection with this offer shall be subject to the exclusive jurisdiction of the courts of Delhi. By availing this offer, the customers shall be deemed to have accepted all the aforesaid terms and conditions.

99. ITC Limited reserves the right to amend these terms and conditions, including extending, withdrawing or discontinuing the same without notice and without assigning any reason, at its sole discretion and without any liability.

100. In case of any conflict regarding these terms and conditions, the decision of ITC Limited shall be binding on the member.

102. Issuance of gift certificates to the applicable extent for Travel House services. A minimum conversion of 500 Green Points is required per conversion request and thereafter in multiples of 500.

103. Exclusive Club ITC Reward Nights.
104. Redeem Green Points for Club ITC Culinaire membership for 16520 Green Points.
105. Green Points do not carry uniform values for the purpose of redemption across different Partners.
106. On redemption, the Club ITC Member's account shall stand debited by the number of Green Points redeemed.

107. All taxes and applicable incidental expenditures shall be borne by the Club ITC Member unless mentioned otherwise.

108. All policies for availability, cancellation, usage, stay etc. that ITC may have in respect of ITC Hotels, shall additionally apply to any availment by a Club ITC Member of the products/services of the relevant brand pursuant to a redemption or during incurring an Eligible Spend.
109. In case of availing instant redemption facility for settlement of bills, upon redemption of Green Points for adjustment against a part of the billed amount, the balance amount billed shall be settled by Club ITC Member in cash and/or recognized credit/debit card.

110. Redemption of the Green Points for issuance of Gift Certificates can be done by a Club ITC Member by accessing www.clubitc.in, contacting Customer Care and requesting for the redemption or writing to clubitc.care@itc.in.
111. Apart from the terms and conditions stated herein, the terms and conditions on a gift certificate shall also govern the receipt and utilization of the gift certificate.

112. ITC may impose additional terms and conditions on redemption of Green Points or usage of gift certificates, which shall be binding on Club ITC Members.
113. The type of redemption being sought shall determine the minimum number of days required to process the redemption which could range from approximately 7 to 30 working days
114. Taxes may additionally be levied on purchases via gift certificates, which shall be paid for by the Club ITC Member in cash and/or recognized credit/debit card.

115. All gift certificates shall be sent to the preferred mailing address of the Club ITC Member reflecting in the Club ITC account. If an envelope is received in a damaged condition, a Club ITC Member must not accept the same from the courier in order to receive a replacement from ITC. No replacement of gift certificate shall be provided or any such request entertained if the Club ITC member has accepted the delivery of the gift certificate.

116. Redemption requests once received or instantaneous redemptions once processed cannot be reversed and the relevant number of Green Points shall stand debited from the Club ITC Member's account on receipt of such redemption request or on instantaneous redemption.
117. Green Points can be redeemed for food orders through ITC Hotels app for home delivery or takeaway services. Green Points can be redeemed in part or full for payment of food orders through ITC hotels app including taxes and delivery charges.

H. RENEWAL OF MEMBERSHIP

118. Membership to the Programme is valid for a period of 1 calendar year from the date of payment of membership fees. It will be renewed every subsequent year, on payment of the prevailing membership fee. If a Member does not pay the requisite fee, the membership to the Programme will not be renewed and the membership benefits will not be available.
119. Members may renew their memberships in the last month of their membership by contacting the Club ITC Customer Care via mail/e-mail/phone/fax.

120. Payment towards renewing of memberships may be made in credit card/debit card or by redemption of Green Points (in case payment is to be made by Green Points, the Member must have the requisite number of points in their account; part payment via Green Points and another mode of payment is not permitted).
121. Renewal Benefit - All members who enrol into the program by paying the prevailing membership fee will receive a renewal benefit of 1500 bonus Green Points
I. EXPIRY OF POINTS

122. In case members renew their Programme membership, all Green Points earned and accumulated will be transferred to the new membership. Accumulated Green Points do not expire/lapse as long as Members renew their Programme membership.

123. In case Members, who were previously Members of Club ITC, do not renew their Club ITC Culinaire membership, they would migrate to the last Club ITC tier held OR to a tier basis last year’s performance (existing Club ITC rules) whichever is higher and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.

124. In case of non-renewal of membership by Members (other than erstwhile Club ITC members), they would migrate to Club ITC Member tier OR a higher tier basis performance and their point balance would be transferred/uploaded to the new membership card. From here on validity of the points would be governed by Club ITC Terms.
J. ADDITIONAL TERMS

125. All interpretations of the Terms and Programme rules shall be at the sole discretion of ITC.

126. The Programme is applicable only at Participating Hotels & Participating Restaurants. However, certain restaurants at Participating Hotels and may not be part of the Programme. (for complete and updated list of participating hotels, restaurants, please visit www.itchotels.com/clubitc-culinaire).

127. The Programme has no predetermined termination date and may continue until such time as ITC decides to terminate the Programme, at any time, with or without notice to the Members. Accumulation of points will cease immediately on termination of the Programme.
128. ITC reserves the right to add, modify, delete or otherwise change any of the rules, conditions, privileges, benefits, rewards or reward levels pertaining to the Programme at its sole discretion, with or without notice, even though changes may affect the value of points already accumulated.
129. Without prejudice to other rights of ITC, the membership of a Member may be terminated by ITC at its sole discretion without assigning any reason, in the event ITC is of the view that any conduct of a Member is unacceptable or inappropriate.
130. Discontinued membership will result in the loss of all accumulated Green Points and the cancellation of all Programme rewards, benefits and privileges.
131. Members are responsible for remaining knowledgeable about the Programme rules and the number of points in their account. ITC will send correspondence to Members to advise them of matters of interest, including point updates. However, ITC will not be liable for any failure to do so and will not be responsible for correspondence lost or delayed in the mail.
132. ITC disclaims all responsibility and liability with respect to any act or omission by any of the partners, their directors, employees, agents or contractors.
133. ITC shall be entitled to use personal information provided by the Club ITC Culinaire Member for marketing of the Club ITC Culinaire Programme and various other offers & initiative by ITC Hotels via SMS/Email/ Whatsapp or any other medium, without further reference to the Club ITC Culinaire Member.
134. All communication will be mailed to the mailing address (postal and/or e-mail) given in the enrolment form and it is the responsibility of the Member to inform Club ITC Customer Care about any change in his/her address. All communication will be deemed to have been received by the Member and ITC bears no responsibility for communication not received or lost in the mail or courier.
135. All Club ITC Culinaire Members will receive an active membership card. In case members want to opt out of this service they are requested to call at 1800 103 2482 or email at clubitc.culinaire@itchotels.in to have the same deactivated.
K. BINDING DECISIONS OF ITC

136. All decisions by ITC in respect of this Programme or any element there of including, without limitation, in respect of the number of Green Points credited, exclusion of spends from Eligible Spends, redemption of Green Points, transfer or conversion of Green Points, eligibility for or exclusion from the membership selection of Club ITC Status, termination of membership at discretion of ITC, closure or earlier withdrawal of Programme, etc. shall be final and binding on a Member or prospective Member.
L. LIMITATION OF LIABILITY

137. ITC or its directors, employees, agents, affiliates or contractors shall not be held liable for any direct, indirect, special, consequential, remote or punitive losses, damages, costs and expenses, howsoever suffered or threatening to arise against a Member or prospective Member, with or without any act, breach or omission by ITC or its directors, employees, agents, affiliates or contractors, or its Partners and their directors, employees, agents, affiliates or contractors.
M. APPLICABLE TERMS AND CONDITIONS

138. The benefits, privileges, terms and conditions for the Programme specified may change at the discretion of ITC from time to time. All such changes shall be effective from the date of posting at the website www.clubitc.in/culinaire and shall be binding on a Programme Member. Members are requested to update themselves by visiting www.clubitc.in/culinaire on any changes there to which may not be separately intimated by ITC or brought to the attention of a Member.

N.  JURISDICTION

139.Any and all disputes arising out of this Programme and its terms and condition shall be subject to the exclusive jurisdiction of courts in Delhi.
